These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and The PILLAR Real Estate Fund, a Delaware limited partnership (“we,” “us,” or “our”).
These Terms govern your access to and use of The PILLAR Real Estate Fund website located at https://www.thepillarfund.com/ and any related web pages, applications, content, functionality, and services (collectively, the “Services”).
By accessing, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately cease all access to and use of the Services.
1. Eligibility and User Accounts
1.1 Eligibility. The Services are intended solely for individuals who are at least eighteen (18) years of age, or the age of majority in their jurisdiction of residence, whichever is greater. By using the Services, you represent and warrant that you satisfy this requirement and have the legal capacity and authority to enter into and be bound by these Terms.

You shall immediately notify The PILLAR Real Estate Fund of any suspected unauthorized use, breach of security, or compromise of your credentials. The PILLAR Real Estate Fund shall not be liable for any loss or damage arising from your failure to maintain the security of your account.
2. Modification of Terms
The PILLAR Real Estate Fund reserves the right, in its sole and absolute discretion, to amend, modify, or supplement these Terms at any time. Any such modifications shall become effective immediately upon posting to the Services, unless otherwise specified.
Your continued use of the Services following the posting of revised Terms shall constitute your acknowledgment and acceptance of such modifications. It is your responsibility to review these Terms periodically.
3. License and Permitted Use
3.1 Grant of License. Subject to your compliance with these Terms, The PILLAR Real Estate Fund hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for lawful purposes only.
3.2 Restrictions. You shall not:
(a) use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party’s access or use;
(b) copy, modify, reproduce, distribute, transmit, display, perform, license, or create derivative works from any portion of the Services except as expressly authorized herein;
(c) use any automated system, including but not limited to bots, spiders, or scrapers, to access the Services without prior written consent; or
(d) use the Services in violation of any applicable law, regulation, or third-party right.
All rights not expressly granted herein are reserved to The PILLAR Real Estate Fund.
4. Acceptable Use and Conduct
You shall use the Services only for lawful purposes and in compliance with these Terms. Without limitation, you shall not:
(a) upload, transmit, or disseminate any viruses, malware, or harmful code;
(b) infringe, misappropriate, or violate any intellectual property, privacy, or contractual rights of others;
(c) misrepresent your identity or affiliation; or
(d) attempt to gain unauthorized access to any systems, networks, or data associated with the Services.
The PILLAR Real Estate Fund reserves the right to suspend or terminate your access to the Services immediately and without notice in the event of any violation of this Section.
5. User Content
5.1 Ownership. Any data, materials, or content you submit through the Services (“User Content”) shall remain your property.
5.2 License. By submitting User Content, you hereby grant The PILLAR Real Estate Fund a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right and license to host, store, reproduce, display, perform, and use such User Content solely as necessary to operate, maintain, and improve the Services.
5.3 Representations. You represent and warrant that: (a) you own or control all rights necessary to grant the foregoing license; and (b) your User Content does not infringe or violate any third-party rights or applicable laws.
6. Intellectual Property
All right, title, and interest in and to the Services—including without limitation all software, source code, designs, text, graphics, logos, images, trademarks, trade names, and other proprietary materials—are and shall remain the exclusive property of The PILLAR Real Estate Fund or its licensors.
You acknowledge that such materials are protected under applicable intellectual property and unfair competition laws, and you agree not to use them except as expressly authorized under these Terms.
7. Third-Party Links and Services
The Services may contain links to, or integrations with, third-party websites or applications. Such links are provided solely for your convenience. The PILLAR Real Estate Fund does not control, endorse, or assume responsibility for any third-party content, products, or services. Your access to such third-party services shall be entirely at your own risk and subject to the terms and conditions of those providers.
8. No Offer or Investment Advice
8.1 Informational Purposes Only. The information contained on or accessible through the Services is provided for general informational purposes only. Nothing contained herein constitutes or shall be construed as an offer to sell or a solicitation of an offer to buy any securities or investment interests.
8.2 No Advisory Relationship. The Services, including any reports, commentary, or materials provided by The PILLAR Real Estate Fund, do not constitute legal, tax, investment, accounting, or other professional advice. You acknowledge and agree that The PILLAR Real Estate Fund is not acting as your advisor, fiduciary, or agent.
8.3 Offering Documents. Any investment offering by The PILLAR Real Estate Fund shall be made solely through definitive offering documents, such as a private placement memorandum, to qualified investors under Regulation D or other applicable securities exemptions.
You should consult your own professional advisors before making any investment or financial decisions.
9. Feedback
If you provide The PILLAR Real Estate Fund with any comments, suggestions, or feedback regarding the Services (“Feedback”), you hereby acknowledge and agree that such Feedback is provided voluntarily, is not confidential, and may be used, disclosed, or exploited by The PILLAR Real Estate Fund without restriction or obligation of compensation.
10. Service Modifications and Availability
The PILLAR Real Estate Fund reserves the right, at any time and without notice, to modify, suspend, or discontinue the Services or any portion thereof. You acknowledge and agree that The PILLAR Real Estate Fund shall have no liability to you or any third party for any modification, suspension, or discontinuance of the Services.
11. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PILLAR REAL ESTATE FUND EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE PILLAR REAL ESTATE FUND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISK FOR YOUR USE OF THE SERVICES.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE PILLAR REAL ESTATE FUND, ITS AFFILIATES, PARTNERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE PILLAR REAL ESTATE FUND ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS (USD $100), OR (B) THE AMOUNT PAID BY YOU, IF ANY, TO THE PILLAR REAL ESTATE FUND FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You shall indemnify, defend, and hold harmless The PILLAR Real Estate Fund, its affiliates, and their respective partners, officers, directors, employees, contractors, and agents from and against any and all claims, demands, damages, losses, liabilities, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) your access to or use of the Services;
(b) your violation of these Terms;
(c) your violation of any applicable law or regulation; or
(d) your infringement or misappropriation of any third-party rights.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection based on forum non conveniens or lack of jurisdiction.
Notwithstanding the foregoing, The PILLAR Real Estate Fund may seek injunctive or equitable relief in any court of competent jurisdiction.
15. Termination
The PILLAR Real Estate Fund may, at its sole discretion and without prior notice, suspend or terminate your access to the Services for any reason, including without limitation a breach of these Terms.
Upon termination, all rights granted to you herein shall immediately cease, and you shall promptly discontinue all use of the Services. Sections of these Terms that by their nature should survive termination shall so survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnification, and governing law.
16. Privacy
Your use of the Services is subject to The PILLAR Real Estate Fund’s Privacy Policy, which is hereby incorporated by reference. By accessing or using the Services, you consent to the collection, use, and disclosure of your personal information in accordance with that policy.
17. Miscellaneous
17.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and The PILLAR Real Estate Fund regarding the Services and supersede all prior or contemporaneous understandings or agreements.
17.2 Severability. If any provision of these Terms is held invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
17.3 Waiver. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of The PILLAR Real Estate Fund. No waiver shall be deemed a continuing waiver or a waiver of any other provision.
17.4 Assignment. You may not assign or transfer these Terms without the prior written consent of The PILLAR Real Estate Fund. The PILLAR Real Estate Fund may assign or transfer these Terms without restriction.
17.5 Successors and Assigns. These Terms shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
